The STA states that tokenized shares authorized by the issuer are genuine securities recorded in the company's official register of shareholders, and investors enjoy full shareholder rights. In contrast, third-party issued stock tokens rely more heavily on the issuing platform's credit and carry risks related to custody, operation, and counterparties. The STA recommends that any future innovative exemptions, pilot programs, or long-term regulatory frameworks for tokenized securities introduced by the SEC should prioritize the issuer-authorized model and require clear risk disclosures for third-party products to prevent them from being confused with genuine shares.

Currently, the global tokenized stock market, valued at approximately $2 billion, is primarily dominated by third-party models, including products like Ondo Finance and Kraken xStocks, while Figure and Securitize employ an issuer licensing model. Dinari, on the other hand, provides tokenized stock services to investors through a custody model.

In addition, STA called on the SEC to work with the U.S. Depository Trust and Clearing Corporation (DTCC) to upgrade the Direct Register System (DRS), improve the efficiency of transfers between traditional securities and on-chain securities, and provide infrastructure support for the large-scale deployment of tokenized securities.

As institutions such as Coinbase, Robinhood, Nasdaq, and the New York Stock Exchange continue to advance their tokenized securities strategies, the SEC's regulatory attitude towards issuer authorization models and third-party models will become a key factor determining the future development of the US tokenized stock market.
