The Nasdaq-listed Bitcoin mining and digital infrastructure firm BTC Digital Ltd. (NASDAQ: BTCT) said Thursday that it has regained compliance with the exchange’s minimum bid price requirement, closing out a deficiency notice issued only days earlier. The Singapore-based company announced the development in a statement distributed through PR Newswire, saying Nasdaq’s Listing Qualifications Department has confirmed the matter is now closed. The confirmation keeps the small-cap issuer on the Nasdaq exchange and removes a delisting overhang that had been hanging over its ordinary shares.

What the August Deficiency Notice Required

Nasdaq first flagged BTC Digital on August 27, 2026, after the closing bid price of the company’s ordinary shares fell below the $1.00 threshold for 30 consecutive business days, breaching Listing Rule 5550(a)(2). The notice gave the company a 180-calendar-day window, running until February 23, 2027, to bring the stock back above $1.00. To satisfy the rule, the closing bid price needed to stay at or above $1.00 for a minimum of 10 consecutive business days. BTC Digital disclosed the deficiency in a Form 6-K filed with the U.S. Securities and Exchange Commission on September 2.

How the Company Recovered Compliance

On September 3, 2026, the company received written notification from Nasdaq confirming that it had met the minimum bid price requirement for the required period and had therefore regained compliance with Listing Rule 5550(a)(2). The quick resolution suggests the share price recovered above the $1.00 floor in short order. A failure to regain compliance could have triggered a delisting process, making the confirmation a meaningful step for the small-cap firm’s continued presence on the Nasdaq exchange. The $1.00 minimum bid price is a standard Nasdaq safeguard, and issuers that trade below it for extended stretches can face removal if they fail to restore the price.

A Mining and AI Infrastructure Operator

BTC Digital describes itself as a digital computing infrastructure company active in cryptocurrency mining, mining farm construction, and data center operations, while also building out AI computing infrastructure. The compliance resolution arrives as other public Bitcoin miners navigate tighter margins, with operators such as Hyperscale Data pausing mining at its Michigan site and Cango cutting hashrate while pivoting toward AI .
