ICE and tZERO Partner on NYSE Tokenized Securities Infrastructure

Intercontinental Exchange, the parent company of the New York Stock Exchange, and tZERO Group have agreed to collaborate on the infrastructure for ICE’s planned NYSE-affiliated tokenized securities platform, according to a joint announcement published August 31, 2026. The arrangement positions tZERO as the exchange operator’s premier design partner for the digital transfer-agent and broker-dealer systems that would underpin on-chain settlement of tokenized securities transactions, bringing regulated tokenized-markets infrastructure closer to the public-equity arena where ICE operates.

Under the agreements, ICE will invest in tZERO’s latest financing round and, in connection with that financing, receive a license to tZERO’s blockchain patent portfolio for use on the platform and other potential applications. tZERO said the portfolio spans 23 patent families and 103 patents covering key parts of the security-token lifecycle, including compliance-aware transfer logic, upgradeable smart-contract frameworks, scalable corporate-action handling and broker-dealer-level identity interoperability.

What the Agreements Cover

The companies signed a memorandum of understanding under which tZERO would help design the digital transfer-agent and broker-dealer infrastructure for what ICE calls its Digital Trading Platform. ICE plans to consult with tZERO to establish standards for digital transfer agents, tokenization agents and broker-dealer subscribers that transact on the platform. Michael Blaugrund, ICE’s vice president of strategic initiatives, said tZERO’s experience in regulated on-chain infrastructure makes it a valuable partner as ICE expands its digital transfer-agent program in support of tokenized securities trading and settlement.

Transfer agents keep the authoritative record of who owns a security, and moving that record onto a blockchain is what would let trades settle on-chain rather than through legacy settlement rails. The standards work with tZERO is meant to set common rules for how those agents, tokenization firms and broker-dealers interact with the platform, a foundation the companies said would support both the trading and the settlement of tokenized securities.

On-Chain Settlement Moves Toward Public Equities

The development matters because it extends tokenized-markets infrastructure from private securities toward the public-equity arena, a transition that would give issuers and broker-dealers a regulated path to settle stock transactions on a blockchain. For those firms, the shift points toward shorter settlement times and a single, shared source of truth for share ownership, though it also raises questions about how legacy recordkeeping systems connect to a new on-chain layer. It deepens a relationship the exchange group has been building with digital-asset firms: ICE earlier this year invested in the crypto exchange OKX , and pairing that with tZERO’s regulated rails shows an exchange operator assembling the pieces of an on-chain settlement stack rather than building everything in-house.

For tZERO, the agreement is a step into public equities. Chairman and Chief Executive Officer Alan Konevsky called the partnership a natural step forward for the company’s infrastructure-as-a-service offering and for tokenized markets, citing years spent building an end-to-end regulated platform for tokenized securities and related intellectual property. tZERO has already connected with other market participants, including a turnkey tokenized-stock platform developed with Dinari .

What Still Has to Happen

The arrangement remains conditional. tZERO is expected to be designated an approved digital transfer agent and subscriber to the platform only after it satisfies regulatory, technology and operational requirements, and the platform itself is still described as upcoming rather than live. The parties also said they will evaluate whether tZERO tokenized assets could be used for collateral management at ICE’s clearing houses and affiliates, a step that would require further approval. The announcement did not set a launch date for the platform.

The memorandum nevertheless adds to a broader pattern of traditional market operators preparing for tokenized settlement. Securitize, for example, has already integrated with NYSE to advance tokenized-securities markets . ICE’s decision to license tZERO’s patent portfolio rather than build the technology entirely itself highlights how incumbent exchanges are choosing to assemble regulated tokenization infrastructure through partnerships, though whether those preparations convert into live trading will depend on regulators and the completion of the underlying technology.
